These Terms and Conditions govern the use of Trade and Win ('Trade and Win') offered by Octa Markets LTD ('Company'). By accessing and using Trade and Win and continuing to use the Company's services, the Client ('Client') agrees to comply with and be legally bound by these Terms and Conditions. The Client acknowledges that they have read, understood, and accepted these Terms and Conditions in their entirety.
1. Definitions
1.1. All terms used in these Terms and Conditions shall have the meanings defined in the Customer Agreement, unless otherwise specified herein.
1.2. In these Terms and Conditions, the following definitions apply:
1.2.1. Client: A person who has entered into a Customer Agreement with the Company.
1.2.2. Company: Octa Markets LTD, registered and governed by the law of Mauritius under business reg. number C186509, operates the website https://www.octafx.com. Registered address: Rue De La Democratie, Office 306, 3rd floor, Ebene Junction, Ebene 72201, Mauritius.
1.2.3. Customer Agreement: The agreement entered into between the Client and the Company that outlines the Terms and Conditions governing the use of the Company's services, available at the following link: Customer Agreement.
1.2.4. Trade and Win: Section of the Client's Profile dedicated to Gifts available for purchase through the Company's points system.
1.2.5. Prize Lots: An internal unit of measurement accumulated by the Client through supported in-product activities, including trading activity in real accounts, trading-related actions, and eligible non-trading tasks. Prize Lots are used solely to determine eligibility for claiming Gifts under the Promotion. They have no monetary value and cannot be redeemed for cash or any cash equivalent.
1.2.6. Gifts: Items, vouchers, or other non-cash rewards that may be claimed by the Client in exchange for Prize Lots via Trade and Win, as displayed in the Client's Profile.
1.2.7. Profile: A personal profile created by the Company for the Client within the Company's services. The Profile is for the Client's private use only and allows the Client to manage his or her personal information and all Trading Account settings.
1.2.8. Restricted Jurisdiction: Any country, region, or territory in which the Company is not registered, licensed, permitted, or otherwise authorised to offer, promote, or market its services, including but not limited to CFD trading services, pursuant to applicable laws and regulations.
2. Trade and Win overview
2.1. Trade and Win is a section of the Client's Profile that enables eligible Clients to exchange Prize Lots for Gifts, in accordance with these Terms and Conditions.
2.2. Trade and Win is operated by the Company and is available only in those countries and regions where it is supported by the Company. Availability of Trade and Win for a specific Client is indicated in the Client's Profile. The Company may extend, restrict, or otherwise modify the territorial availability of Trade and Win at its sole discretion.
2.3. Trade and Win may interact with other loyalty products and programs of the Company (including, without limitation, Octa Rewards and Octa Black). For such Clients, the range of Gifts and related conditions may differ and will be displayed in Trade and Win.
2.4. The Client may not transfer, assign, sell, or otherwise dispose of their access, Prize Lots, or any related rights to Trade and Win to any third party.
3. Eligibility and participation
3.1. To be eligible to access and use Trade and Win, the Client must:
3.1.1. Reside in a country or region where Trade and Win is available, as determined by the Company.
3.1.2. Not be prohibited from participation under applicable law or regulation.
3.2. The Company may extend or narrow access to Trade and Win for specific countries or categories of Clients at its sole discretion without prior notice.
3.3. A Client obtains access to Trade and Win by opening a real trading account with the Company and meeting any internal eligibility criteria set by the Company. No separate registration is required unless explicitly indicated in the Client's Profile.
3.4. Orders executed on demo accounts do not qualify for Prize Lots and do not affect the Client's ability to claim Gifts through Trade and Win.
3.5. In jurisdictions where the Company is not registered, licensed, or otherwise authorised to actively offer, promote, or market CFD trading services, access to Trade and Win and any bonuses, incentives, prizes, or Gifts available through Trade and Win are provided exclusively on the basis of reverse solicitation as required by applicable law.
3.6. By accessing or using Trade and Win while being resident, domiciled, or located in a Restricted Jurisdiction, the Client expressly acknowledges and confirms that:
3.6.1. he or she has contacted and approached the Company entirely on his or her own exclusive initiative
3.6.2. he or she has not been subject to any form of marketing, advertising, promotion, inducement, or solicitation (directly or indirectly, including through affiliates, introducers, agents, or any third parties) by or on behalf of the Company in the Client's jurisdiction of residence or location
3.6.3. his or her initiative to participate in Trade and Win originates solely from him or her.
3.7. Clients who are not resident, domiciled, or located in a Restricted Jurisdiction are not subject to the reverse solicitation requirements set out in this clause.
4. Prize Lots accrual and retention
4.1. Prize Lots are accrued based on the Client's activity within the Company's services. Unless otherwise specified in Trade and Win, Prize Lots may be earned through:
4.1.1. Trading-related actions, including trading volume generated on real accounts.
4.1.2. Eligible non-trading tasks, as determined and communicated by the Company through Trade and Win or other relevant sections of the Client's Profile.
4.2. Unless otherwise specified:
4.2.1. 1 traded lot = 1 Prize Lot.
4.2.2. Only closed trades are counted towards Prize Lots.
4.2.3. Order duration is not limited, unless otherwise stated in the Customer Agreement.
4.3. The Company may apply multipliers or special accrual rules to certain internal promotions, campaigns, instruments, specific activities, or time periods. Such multipliers or rules will be communicated in Trade and Win and shall take effect once published.
4.4. Prize Lots are displayed in the Client's Profile and are calculated in accordance with the Company's internal records. In the event of any discrepancy, the Company's records shall be considered final and binding.
4.5. Prize Lots are an internal metric and:
4.5.1. have no monetary value
4.5.2. cannot be redeemed for cash, transferred, or exchanged
4.5.3. are used solely for determining eligibility to claim Gifts in Trade and Win.
4.6. Temporary lock due to inactivity
4.6.1. If the Client does not accumulate at least one Prize Lot within a continuous period of 30 (thirty) days, their Prize Lots may be temporarily locked and become unavailable for use.
4.6.2. To unlock Prize Lots, the Client must accumulate at least one Prize Lot within 180 (one hundred and eighty) days from the date of the lock.
4.7. Burning of Prize Lots due to prolonged inactivity
4.7.1. If the Client does not accumulate at least one Prize Lot within a continuous period of 180 (one hundred and eighty) days, all Prize Lots accrued by the Client may be permanently cancelled ('burned').
4.7.2. Once Prize Lots are burned due to inactivity, they cannot be restored or compensated in any form. The Client acknowledges and agrees that they shall have no claim for compensation, reimbursement, or any other form of redress in relation to burned Prize Lots.
4.8. The Company reserves the right to cancel or adjust Prize Lots that were credited in error, obtained in violation of these Terms and Conditions or the Customer Agreement, or in any other improper manner.
5. Gifts
5.1. The Gifts available through Trade and Win, including their descriptions and the required number of Prize Lots for redemption, are displayed in Trade and Win. The list of Gifts and their availability may vary depending on the Client's region and other circumstances determined by the Company.
5.2. A Gift may be claimed by the Client if the Client has accumulated the minimum number of Prize Lots required for that Gift. Upon claiming a Gift, the corresponding number of Prize Lots will be deducted from the Client's balance. The Company reserves the right to amend the number of Prize Lots required to claim any Gift at its sole discretion at any time. The change takes effect from the moment it is published in Trade and Win.
5.3. Unless otherwise specified, each type of Gift may be claimed no more than once per 30 (thirty) days calendar month per Client. Any additional limits or conditions will be indicated in Trade and Win.
5.4. For Clients who participate in the Octa Rewards program, the list of available Gifts may be extended or modified based on the Client's Status or other conditions within that program. Any such additional Gifts will be displayed in Trade and Win.
5.5. Gifts and rights to claim Gifts through Trade and Win cannot be exchanged or transferred to other persons.
5.6. If a specific Gift is unavailable, discontinued, or cannot be delivered due to circumstances beyond the Company's control, the Company may, at its sole discretion:
5.6.1. offer an alternative Gift of equal or comparable value
5.6.2. cancel the Gift order and return the Prize Lots spent on that Gift.
5.7. Gift vouchers or gift certificates
5.7.1. May only be used in accordance with the terms of the issuer of the voucher or certificate.
5.7.2. Are generally valid only in the country chosen by the Client at the time of ordering, unless otherwise specified in the Gift description.
5.7.3. Are not returnable or refundable by the Company once issued.
5.8. Images and descriptions used in marketing materials are for illustrative purposes only and may not fully represent the actual Gift. The actual Gift may differ in appearance or specification.
5.9. For clothing items, product descriptions include body measurements corresponding to each available size. By placing an order for such a Gift, the Client acknowledges and confirms that they have reviewed these measurements and selected a suitable size. Once an order is created, changing the size is not possible, including after receiving and trying on the Gift. By creating an order in Trade and Win, the Client confirms they have read the body measurements and chosen an appropriate size. The Company reserves the right to resolve uncertain sizing disputes on a case-by-case basis.
5.10. When ordering electronic Gifts, the Client agrees that the device may include pre-installed applications and files, including but not limited to personalised features such as wallpapers, lock screen images, and startup or shutdown animations associated with the Company. These customisations enhance the user experience and do not involve the collection or storage of personal data. By creating an order in Trade and Win, the Client confirms that they have read and accepted these conditions.
5.11. In the event of defects, damage, or failure of a Gift, the applicable replacement, repair, or cancellation rules (including any time limits for reporting issues) will be specified in the Gift description or in Trade and Win. Where permitted, the Company may either replace the Gift or cancel the Gift order and return the Prize Lots used to claim it. The same rules apply to the replacement of Gifts in the event of damage or failure, as specified in Clauses 6 and 7 of these Terms and Conditions.
5.12. The Company does not issue invoices for Gifts and is not responsible for any tax or reporting obligations that may arise for the Client in connection with receiving a Gift. Any applicable taxes, fees, or charges are the Client's responsibility.
5.13. If cross-border delivery of a Gift requires additional documentation or permits for customs clearance, the Client must provide them upon request of the customs authority.
5.14. The Company is not liable for loss, corruption, damage, or any security issues arising from or in connection with the Client's use of the Gifts.
6. Gift delivery
6.1. Sobald ein Geschenk erfolgreich über Trade and Win beansprucht wurde, wird das Unternehmen die Bereitstellung und Lieferung an den Kunden gemäß der im Kundenprofil angegebenen Liefermethode und ungefähren Lieferzeit veranlassen. In der Regel bemüht sich das Unternehmen, Geschenke innerhalb von acht (8) Wochen ab dem Datum der Beanspruchung zu liefern. Die Lieferzeiten sind Richtwerte und können aufgrund von Versandverzögerungen, Zollverfahren oder anderen Umständen, die außerhalb der Kontrolle des Unternehmens liegen, variieren. Bei Geschenken, die aus dem Ausland versandt werden, sind die Lieferzeiten ungefähre Angaben und können aufgrund von internationalen Versandverzögerungen, Zollabfertigungen oder anderen unvorhergesehenen Umständen variieren.
6.2 Nur der Kunde, der das Geschenk angefordert hat, kann als Empfänger angegeben werden. Die Lieferadresse muss sich in dem Land befinden, in dem Trade and Win verfügbar ist und das vom Kunden zum Zeitpunkt der Bestellung ausgewählt wurde.
6.3. Der Kunde ist dafür verantwortlich, genaue und vollständige Lieferangaben zu machen. Wenn der Kunde falsche oder unvollständige Lieferangaben macht, garantiert das Unternehmen keine erfolgreiche Lieferung und kann die Geschenkbestellung stornieren. In einem solchen Fall kann das Unternehmen nach eigenem Ermessen die Preis-Lots auf das Konto des Kunden zurückerstatten.
6.4. Wenn der Kunde nicht auf Anrufe des Lieferdienstes reagiert, kann das Unternehmen den Kunden auffordern, seine Lieferadresse und die Kontaktdaten zu aktualisieren. Wenn der Kunde die Informationen nicht innerhalb von einer (1) Woche aktualisiert oder wenn die aktualisierten Informationen weiterhin unrichtig sind, kann das Unternehmen die Bestellung stornieren und die für die Inanspruchnahme des Geschenks verwendeten Preis-Lots zurückerstatten.
6.5. Nach der Inanspruchnahme eines Geschenks kann der Kunde seine Lieferadresse oder seine Kontaktdaten möglicherweise nicht mehr ändern. Etwaige Ausnahmen oder zusätzliche Optionen werden in Trade and Win angezeigt.
6.6. Der Zusteller kann vom Kunden verlangen, ein Lieferdokument zu unterzeichnen, ein Einmalpasswort (OTP) anzugeben oder andere Verifizierungsverfahren des Lieferunternehmens zu befolgen. Wenn der Kunde dies ablehnt oder nicht befolgt, kann der Zusteller das Geschenk möglicherweise nicht ausliefern. In diesem Fall kann das Geschenk zurückgesandt werden, und das Unternehmen kann die zur Inanspruchnahme des Geschenks verwendeten Preis-Lots wiederherstellen.
6.7. Das Geschenk muss dem Kunden vom Zusteller persönlich übergeben werden. In Bereichen, in denen eine direkte Übergabe an den Kunden nicht möglich ist (z. B. bestimmte geschlossene Anlagen oder bewachte Gebäude), kann das Geschenk beim Gebäudepersonal (z. B. einem Wachmann) hinterlegt werden, worüber der Zusteller den Kunden informiert. In solchen Fällen geht die Verantwortung für das Geschenk mit der Übergabe an den angegebenen Ort auf den Kunden über.
6.8. Alle zusätzlichen staatlichen Abgaben, Zölle oder Dokumentationsanforderungen im Zusammenhang mit der grenzüberschreitenden Lieferung des Geschenks können vom Kunden getragen werden, sofern nicht anders angegeben. Gegebenenfalls kann das Unternehmen solche Abgaben nach Erhalt eines entsprechenden Zahlungsnachweises vom Kunden zurückerstatten, vorbehaltlich der vom Unternehmen festgelegten Bedingungen.
6.9. Sollte das Geschenk während des Versands beschädigt worden sein, verpflichtet sich das Unternehmen, dieses Geschenk zu ersetzen, sofern der Kunde den Schaden meldet und innerhalb von 7 (sieben) Tagen nach dem Lieferdatum einen Foto- oder Videobeweis beim Kundensupport einreicht.
6.10. Um eine ordnungsgemäße Überprüfung von Ansprüchen bezüglich fehlender, beschädigter oder falsch gelieferter Geschenke zu gewährleisten, wird dem Kunden empfohlen, zum Zeitpunkt der Lieferung ein klares Video des Auspackvorgangs aufzunehmen. Das Video sollte vor dem Öffnen des Pakets beginnen und Folgendes zeigen:
6.10.1. den äußeren Zustand des Pakets
6.10.2. das Öffnen des Pakets
6.10.3. die Überprüfung aller darin enthaltenen Artikel.
6.11. Reklamationen, die ohne ein solches Video eingereicht werden, werden auf der Grundlage der verfügbaren Beweise geprüft. Bitte beachten Sie, dass ein vollständiges Video des Auspackvorgangs eine schnellere und genauere Bearbeitung der Reklamation des Kunden ermöglicht.
7. Gift malfunctions
7.1. In case of a malfunction of an electronic Gift that is not related to violation of maintenance or usage conditions specified in the Gift's service manual or on the manufacturer's website:
7.1.1. The Company will replace branded electronic Gifts (electronic items that bear the trademark, brand name, or logo of the Company or any of its affiliated entities) if the Client reports the issue to Customer Support within 105 (one hundred and five) days from the date it was shipped (delivery time included).
7.1.2. The Company will replace non-branded electronic Gifts if the Client reports the issue to Customer Support within 45 (forty-five) days from the date it was shipped (delivery time included).
7.1.3. If the manufacturer provides a warranty for the electronic Gift, the Client must contact the manufacturer's authorised service centre in their region, the details of which can be found on the manufacturer's official website. In such cases, all issues are handled by the manufacturer in accordance with its warranty obligations.
7.1.4. If the issue cannot be resolved by the manufacturer, or if the manufacturer refuses service for reasons not related to the Client's misuse or violation of maintenance or usage conditions, the Client is entitled to contact the Company with a request for replacement of the Gift. In such cases, the Client must provide an official written statement on the authorised service centre's official letterhead indicating the reason for the refusal of repair or replacement.
8. Misuse and restrictions
8.1. The Company reserves the right, at its sole discretion, to restrict the Client's access to Trade and Win, cancel Prize Lots, or declare any Gift invalid, if it reasonably believes that the Client:
8.1.1. Engaged in abusive, fraudulent, or manipulative trading practices, including but not limited to arbitrage trading, exploitation of price or quote failures, or opening opposite high-volume orders on correlated instruments across multiple accounts with the intention of obtaining an unfair advantage.
8.1.2. Used multiple accounts, IP matches, or other technical means to circumvent the rules related to Prize Lots or Trade and Win.
8.1.3. Provided false or misleading information, including with respect to delivery details.
8.1.4. Violated these Terms and Conditions, the Customer Agreement, or any other applicable Company policies.
8.1.5. Engaged in any other conduct that the Company considers to be cheating or contrary to the spirit or integrity of Trade and Win.
8.2. All trading techniques and Expert Advisors (EAs) are generally allowed. However, the Company may treat any use of these as grounds for restriction or disqualification if they are used in a manner that constitutes abuse, fraud, or exploitation of technical issues.
8.3. The Company may cancel any previously granted Gift if it later discovers direct or indirect evidence of attempted fraudulent operations or manipulation connected with Prize Lots or Trade and Win.
8.4. Each Client agrees to provide authentic and accurate information in connection with access to Trade and Win and the receipt of Gifts. Failure to do so may result in restriction and/or cancellation of Prize Lots and Gifts.
9. Changes and termination
9.1. The Company reserves the right, at its sole discretion, to amend, suspend, or terminate Trade and Win, in whole or in part, at any time, without prior notice to the Client. Any such amendments will be effective immediately upon posting on the Company's website or in the Client's Profile.
9.2. The Company may at any time change:
9.2.1. the list of available Gifts
9.2.2. the amount of Prize Lots required to claim a Gift
9.2.3. the accrual rules or multipliers for Prize Lots
9.2.4. the territorial availability or eligibility criteria for Trade and Win.
9.3. In the event of any conflict between these Terms and Conditions and any version published on the Company's website or in the Client's Profile, the most recent version shall prevail.
9.4. The Client is responsible for regularly reviewing these Terms and Conditions. Continued use of Trade and Win after any changes have been made constitutes the Client's acceptance of the modified Terms and Conditions.
9.5. Trade and Win may be terminated by the Company without prior notice. In such a case, the Company may, at its discretion, set a final period for using remaining Prize Lots and claiming Gifts, or may cancel remaining Prize Lots without compensation.
10. Intellectual property
10.1. All intellectual property rights, including but not limited to trademarks, logos, trade names, branding elements, designs, content, and materials made available through Trade and Win or incorporated into any Gifts (collectively, 'Intellectual Property'), are owned by the Company or its licensors.
10.2. Certain Gifts provided through Trade and Win may contain or display the Company's trademarks, branding, or other Intellectual Property. Such inclusion does not grant the Client any rights, title, or license to use the Intellectual Property beyond personal, non-commercial use of the Gift as intended.
10.3. The Client agrees not to reproduce, copy, distribute, modify, disassemble, reverse engineer, commercialise, resell, or otherwise use the Company's Intellectual Property—whether displayed digitally, included in Trade and Win, or applied to or embedded within any Gift—without the Company's prior written consent.
10.4. Any commercial use, marketing use, resale, or redistribution of Gifts containing the Company's Intellectual Property is strictly prohibited unless explicitly authorised by the Company in writing.
10.5. The Company reserves all rights not expressly granted under these Terms and Conditions. Any unauthorised use of the Company's Intellectual Property may result in suspension of access to Trade and Win, cancellation of Gifts, disqualification from Company programs, and may give rise to legal action.
11. Limitation of liability
11.1. To the maximum extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, or consequential damages, losses, or expenses incurred by the Client in connection with their use of Trade and Win or any Gift, including but not limited to:
11.1.1. system malfunctions, technical failures, delays, interruptions, or unavailability of the Company's services or delivery services
11.1.2. loss, damage, or corruption of a Gift after successful delivery in accordance with these Terms and Conditions
11.1.3. any issues arising from the Client's use, misuse, or inability to use a Gift
11.1.4. any losses, claims, or liabilities arising from the Client's failure to comply with reverse solicitation requirements or resulting from the provision of inaccurate, incomplete, or misleading information regarding their jurisdiction, residency status, or initiative to contact the Company.
11.2. The Company shall not be liable for any failure or delay in performance of its obligations under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, labour disputes, internet failures, wars, civil disturbances, or other events of force majeure.
11.3. Nothing in these Terms and Conditions shall exclude or limit any liability that cannot be excluded or limited under applicable law.
12. Data sharing
12.1. The Gifts available through Trade and Win may be provided directly by the Company or through its affiliated entities, partners, agents, or other third-party service providers involved in the fulfilment, shipment, or activation of such Gifts (collectively, 'Service Providers'). Information about specific Service Providers involved in delivering or processing a particular Gift may be displayed in Trade and Win section of the Client's Profile.
12.2. In connection with the provision of Gifts under Trade and Win, the Company may be required to transfer the Client's personal data to the relevant Service Providers for purposes including, but not limited to, processing Gift orders, arranging delivery, handling subscriptions, warranty services, and other operational activities necessary for the fulfilment of the Gift.
12.3. The Company will ensure that any personal data shared with Service Providers is limited to the minimum necessary to provide the respective services. Any such data sharing will be carried out in accordance with the Customer Agreement, the Company's Privacy Policy, and any other applicable policies of the Company.
12.4. The Client acknowledges and agrees to the sharing of their personal data with Service Providers as described herein. The Client further consents to the transfer of their personal data to such Service Providers as required to facilitate the processing and delivery of Gifts through Trade and Win.
12.5. If required by law or by the policies of specific Service Providers, the Client agrees to provide any additional consents, confirmations, or authorisations necessary to enable the Company to transfer their personal data to Service Providers.
12.6. The Client acknowledges that failure to provide the necessary consents or accurate personal information may result in the Client's inability to receive certain Gifts or may lead to delays, cancellation of the Gift order, or restoration of Prize Lots at the Company's discretion.
12.7. Unless otherwise notified, and where permitted by applicable law, the Company may also use and publish the Client's personal information for marketing and promotional purposes, in accordance with the Company's Privacy Policy.
13. General terms
13.1. The Client is solely responsible for any taxes, duties, fees, or other charges that may apply to the Gifts or benefits derived from the use of Trade and Win, as required by applicable law. The Company shall not be liable for any such taxes or fees.
13.2. All disputes and disagreements arising from or in connection with Trade and Win shall be governed by, and resolved in accordance with, the laws and procedures set forth in the Customer Agreement.
13.3. The Company may assign its rights and/or obligations under these Terms and Conditions to any affiliate or third-party provider at its discretion.
13.4. If any provision of these Terms and Conditions is found to be illegal, invalid, or unenforceable by a court of competent jurisdiction or due to applicable local law or regulatory requirements in a specific jurisdiction, such provision shall be deemed severed only with respect to Clients resident, domiciled, or located in that jurisdiction. This shall not affect the validity or enforceability of the remaining provisions for Clients in any other jurisdiction, which shall remain in full force and effect. The Company may introduce alternative terms or conditions applicable to Clients in such jurisdictions to ensure compliance with local legal or regulatory requirements.
13.5. Any matters not explicitly addressed in these Terms and Conditions shall be governed by the provisions of the Customer Agreement and any other relevant documents or policies of the Company.
